8.01    Other Events.

On March 4, 2013, Gulf Island Fabrication, Inc. issued a press release announcing that through its subsidiary, Gulf Marine Fabricators, it has received a Letter of Intent in anticipation of a contract for the fabrication of a 1200’ jacket from Walter Oil & Gas Corporation for its Coelacanth Project located at Ewing Bank 834 in the Gulf of Mexico.  A copy of the press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
